Do we have to amend the AOA of the co. as per new act?

Since the existing Articles of Association generally have references of various sections of the Companies Act, 1956 in various articles, so it is advisable to amend the Articles of Association to make it in line with the new arrangement of sections.

We need not amend AoA which are already registered under previous act, 1956, unless we are amending the existing Articles on and after 01.04.2014.
