whether a private company can give offer to a partnership firm for subscribing the shares, if yes, what are the requirements. please advise.

However, if the firm is a Limited Liability Partnership, as it is a corporate entity, shares could be allotted.

Partnership firms cannot be a member in a company and no share could be allotted in the name of the firm.
