Can CSR expenditure be approved by Circular Resolution of CSR Committee

According to section 135(3) of companies act, 2013 CSR committee can only recommend the amount CSR expenditure to board. further the board may approve CSR expenditure by circular Resolution as recommended by csr committee subject to fullfillment of other conditions specified in sec 175 of companies act, 2013.
