Can a company secretary who happens to be a relative of one of the Directors, do the secretarial work for the company like certification and filing of various forms with ROC.If yes what will be the difference if the share capital of the company is more than Rs. crore. A board resolution of disclosure is being passed every year in March by the Board for his autorisation to do the work.

if the paid up capital is beyond 10 crores then special resolution is required or if the appointment happens to be in office of place of profit and if his remuneration is more than two and half lacs per month then special resolution is required. But I am not sure whether the appointment is to be taken under OPOP, hence invite comments from others on this view
