MCA clears the air in case of shifting of registered office.

MCA vide Notification No. G.S.R. 180(E) dated 06th March, 2019 has amended the Companies (Incorporation) Rules, 2014.

Key highlights of the amendments are:

  1. Clearing the practical difficulty on newspaper advertisement at the time of shifting of registered office from one State or Union territory to another State.

    In case of shifting of registered office from one State or Union territory to another State, an advertisement is required to be given in Form INC-26 in the English language in an English newspaper with the widest circulation in the State in which the registered office of the company is situated. The term “widest circulation” was giving an impression that advertisement shall be given in the English newspaper having widest circulation in the State meaning the largest in terms of number of copies sold. This was creating practical problem for companies intending to shift registered office as cost of advertisement is very high. MCA has now removed the practical difficulty by substituting words “widest circulation” with the words ‘wide circulation’. The said amendment will require publication in a newspaper having wide circulation and not widest. This amendment has effective from 06th March, 2019.

  2. Zero fee for incorporation of all companies with authorized capital up to Rs. 15 Lakh:

    From 18th March, 2019, in case of companies incorporated with a nominal capital of less than or equal to Rs. 15 lakhs, fee on INC-32 (SPICe) shall not be applicable. Previously, the limit was Rs. 10 lakhs.
