How a period of 12 months is calculated under section 167 in a situation if the office of director shall become vacant in case he absents himself from all board meetings during the period of 12 months?

It should be calculated from the date of last meeting attended by the director but for the financial year 2013-14 it should be calculated from 1st April 2014
