Dear Everyone, If a person is providing professional service to a pvt company (e.g. ROC Compliance's) and now the company desires to appoint him as a director. Can Company do so? or it falls under related party transactions? Thanks in advance.

Section 188- Related party transactions.

If he is not a related party then Company can appoint him as such without complying section 188 but if after appointment he still continue to provide said services and company pays him then it will be treated place of office for profit and provisions of section 188 will apply
