Rule 12.1(9) of the draft Rules under Chapter XII states that no person other than Chairperson, directors, Secretary and any other person whose presence is required pursuant to a legal provision shall be allowed access to the board meeting. Does this mean (i) that invitees can no longer attend; and (ii) that if original directors are present at the meeting their alternate cannot attend as invitees?

Rule 12.5 allows other person to attend the meeting apart from Directors and alternate director cannot attend any meeting when the orginal director is present

If Rule 12.1(5) (pointed out by Ankit) has to be interpreted harmoniously with Rule 12.1(9), that could only mean that reference to "persons other than the directors" in Rule 12.1(5) is intended to cover "persons whose presence is required pursuant to a legal provision" (as stated in Rule 12.1(9)). Thus, the conclusion would be that unless a person is authorised to be present at a board meeting pursuant to a legal provision (company secretaries, for instance), no other person can attend a board meeting. Correct?
