An unlisted company proposes to transact a business for which the members approval is to be sought mandatorily by way of postal ballot. The company's present AOA does not have provisions for postal ballot. Should the company first amend its AOA to include provisions for postal ballot and then proceed with the formalities for postal ballot process?.
