A spl resolution proposed by way of postal ballot could not be passed for want for requisite majority. The relevant sections and rules state that the resolution passed has to be filed with ROC in MGT14 within the prescribed time period and the brief report of the resolutions passed by way of postal ballot shall be recorded in the minutes of shareholders meetings. In view of the words "resolutions passed", my query is should we file form MGT14 and record in the minutes book in the present case when the resolution has not been passed?

You will need to record the non-passing of the desired resolution in your postal ballot minutes. But as far as the filing is concerned, you are not supposed to file the same with the ROC as the same has not been carried through by the members of your company.
