A pvt co. which is not required to appoint a KMP. But according to Sec 8A, it has to appoint a Company Secretary. The Company has MD, WTD, CFO and CS. Should only be CS be designated as KMP in Board Resolution as appointment of CS is compulsory or even WTD, CFO along with CS should be designated as KMP as they are appointed in the company before the regulations came into force.

Please note that KMP is to be appointed as per Rule 8 A and not sec 8 A. All the person satisfying the definition of KMP u/s 2(51) will be KMP notwithstanding the fact that ,whether they have been appointed voluntarily or in compliance of requirements of companies Act.Designation as KMP has no Relevance .

Stricter of the provisions have to be followed. Let the position remain as it is except filing form for re-designation of the CS as the KMP of the Company.

So we need to file MGT-14 for designating CS@KMP. .So, only CS will be KMP...Is that so.?
