A Private Company has filed DIR-12 for appointing of directors to MCA but later on came to know that they are to be appointed as WTD. What remedy does the company have now?Should it have to obtain Shareholders approval now ?

Exact position is not clear by your question though if company has already passed shareholders resolution then simply files DIR-12 again for change in designation. In case if company had not passed any shareholders resolution in general meeting as per section 196 of the Act and thereafter company need to file MR-1 within 60 days of general meeting

The Director was appointed in BM and rationalised in EGM as per old act.. But when the form was filed, instead of mentioning as WTD it was wrongly mentioned as only Director Executive. But, the director is in wholetime employment. Now, will it only suffice if we only file DIR-12 for change of designation or EGM is required as a WTD's appointment need shareholder's approval as per new act even for a private company..
