What is the difference between allotment under private placement and prefrential allotment? Can allotment of public limited company can be done under private placement? please clarify.

Please note that under Private Placement the definition of securities is wider. Under Preferential allotment only equity shares, fully convertible debentures, partly convertible debentures or any other securities, would be convertible into or exchanged with equity shares at a later date is covered. Whereas convertible and non convertible securities covers in Private Placement.

Preferential allotment is covered under section 62 of the Act and it includes equity shares, fully convertible debentures, partly convertible debentures or any other securities, would be convertible into or exchanged with equity shares at a later date. As per sec 23 of the Act public company may issue securities under private placement by complying with the provisions part II of Chapter IV of the Act.
