In a Pvt limited both the Directors and members are Non-Resident...in this case the place of the AGM where????

But Hitesh,as per my view u cant hold AGM just with proxies. At least two members present in person are necessary. If all the members are non residents then at least two must visit India to hold the AGM. However representative of companies are treated as member present in person.So pl. check all the provisions carefully before holding the AGM

1. As per section 149(3) of the Companies Act, 2013, every company shall have at least one resident director. 2. It is not mandatory to directors to attend the annual general meeting. 3. AGM must be held at the registered officer or any other place within the city, town or village in which registered office is situated. 4. If non resident members are corporate members, they can appoint their representative in India to attend the General Meeting of the Company pursuant section 113 of the Act. 5. If non resident members are individual members, they can appoint anyone in India say for example employee of the company as proxy giving instruction how to vote on each each business of the notice of General Meeting. The provisions of proxy is given in Section 105 of the Act.

As per section 96 of the Act, AGM shall be held at the registered address of your company or any other place within the city, town or village in which the registered office of the company is situated.
