Can a Pvt. Ltd. Company pay remuneration to its ordinary directors who are neither MD or WD etc. on monthly or yearly basis without approval of shareholders? or any other approval is required ?

Section 197- Overall maximum managerial remuneration and managerial remuneration in case of absence or inadequacy of profits.

As per section 197(4) of the Act, company shall require to take approval of shareholders for payment of remuneration to directors (including any MD, WTD or Manager)
