Can an Independent Director be appointed by the Board as Additional Director under Sec 161 of the Act. Also can this appointment be regularised at the next ensuing AGM?

An Independent Director has to resign first and then formalities as to appointment of additional director to be complied with. This appointment to be regularised at the next AGM.
