A private limited having two directors who are also the shareholders. now a criminal case is filed against one of the directors by the second director. how a new director to be appointed in this case so that the business of the company is carried out without hindrance. Thanx & Regards

In the cited case, company may call EGM to pass the requisite resolution and if it is not possible company may seek relief by filing petition to CLB
