IN A PRIVATE SHAREHOLDERS WANT TO REMOVE A DIRECTOR . WHAT WILL BE MODE OF DISPATCH OF SPECIAL NOTICE TO THE CONCERN DIRECTOR .CAN IT BE GIVEN BY HAND OR BY COURIER .IF THE CONCERNED DIRECTOR DOES NOT ATTEND AND REPRESENT HIMSELF AT EOM CAN IT BE REMOVED BY COMPANY

No medium for sending the notice is prescribed but it would be better if u send the notice by registered post or speed post. Even if the director does not attend the EGM it can be removed

1. No mode of dispatch of special notice is provided in the Act, since it is a private company the share holder can follow the instructions given by the company. 2. It is only vital for the company to give reasonable time for the proposed director at removal to give his representations. Even if the representation or comments are not received on time, he can be removed provided the resolution is being passed at the EGM as required by the AoA, since it is a private company
