what is the interpretation of section 180(1)(d)

Section 180 is basically impose restriction on the power of board which can not be exercised except with the approval of shareholders of the Comapny by Speical Resolution. Section 180(1)(d) restrict the board to remit the outstanding debt due against the directors without the approval of the Shareholders of the Company.
