A listed company has 4 directors. Of this, 3 directors are independent directors and the other is the Managing Director. As per the Companies Act 2013, independent directors shall not be liable to retire by rotation. Hence in this case, the Managing Director has to be made rotational director and the 3 independent directors should be appointed for 5 years. Am i right?
