As for as my understanding to remove auditor company has to call for the board meeting and pass the resolution for removal of the auditor and file the form with the RD in the ADT 2 after approval of RD hold the general meeting and pass the special resolution and replace the auditor But my question is under the provision of section 140 says "before taking any action reasonable opportunity should be given to the auditors". when the opportunity should be provided. i have 2 stages where opportunity should have been given 1. in the board meeting (then what is the notice period). 2. in the GM (then what is use of Going to central govt if the shareholder does not remove such auditor inspire of RD approval). please give your inputs on the same.
