A Company has passed a resolution for issue of debentures and the draft letter of offer has also been approved by the Board which would be taken to the shareholders for their approval. Can the company also at the same Board meeting authorise the Chairman or Company Secretary to issue the offer letter for the preferential issue once the same is approved by the shareholders or should the company again hold a board meeting after the General meeting to approve the issue of the offer letter.
