A public limited company (Closely Held Company) having A clause "Investing surplus funds of the company" in the Main object of the company's MOA. but if i follow Section 117 which signify resolution need to be filed with ROC. now what to do when the company proposes to invest surplus funds, the broker demanded copy of board resolution. Before giving copy of such board resolution to the broker do i have to file the resolution with ROC. did the company exempt from filing such copy of board resolution to ROC because of the Main business clause.
