Please clarify regarding conversion of Preference Shares into Equity Shares. A Private Limited company has issued 5%Cumulative Preference Shares in Year 2005 1. Can the company make a payment of dividend now? The company has not made payment of dividend till now. 2. Can the company convert preference shares into equity shares now? 3. Is there any time limit to convert preference shares into equity shares ?

Yes since the shares are cumulative , you can pay the dividend. time limit for conversion will depend upon the terms of the issue
