In case of revision in remuneration of Managing Director of a listed entity, within the limits of Section 197 i.e. 5 % of net profits, do we have to go for Shareholders approval? And what if the Shareholders don’t approve the same, will the revised remuneration paid on the basis of Board approval be liable to be refunded by him?

If there is change in the existing remuneration , then approval of shareholders will be required , if the original remuneration has been approved by them. Any such remuneration is paid without the approval of shareholders is required to be refunded back
