Do we need to maintain the Video recording of the proceeding of the Board Meeting even if the Quorum is present physically and only one director is attending through Video conferencing?

Yes, to show the presence of the third Director in the Minutes of Meeting, it is required for the company to record the proceedings of the meeting.

According to Rule 3(2)(c) of the Companies (Meetings of Board and its Powers) Rules, 2014:- "The Chairperson of the meeting and the company secretary, if any, shall take due and reasonable care to record proceedings of the meeting". Rule 3 is mainly for Meetings of Board through video conferencing or other audio visual means. So that need to maintain video recording of the proceedings of the Board meeting.
