application in Form INC-23 with the Central Government (power delegated to RD) required to file along with the following documents: - • Altered copy of MOA. • Copy of notice of the general meeting along with relevant explanatory statement. • Copy of special resolution sanctioning alteration. • Copy of the minutes of the general meeting authorizing such alteration. • Power of attorney/vakalatnama/Board resolution. • Affidavit from Directors in terms of Rules. • Affidavit verifying the application. • Affidavit by the company secretary of the company and the directors in regards to the correctness of list of creditors and affairs of the company. • Affidavit by directors about no retrenchment of the employees. • Proof of service of the application to ROC, Chief Secretary of the state, or any regulatory authority, (if applicable). • Copy of objections, (if received any).
