A CA Firm in which 50 % of the Partners are directors of the Company can be appointed as internal Auditors of that Company?

According Section 138 of the Companies Act, 2013, prescribed class of Company shall required to appoint the internal auditor who shall either be a chartered accountant or a cost accountant, or such other professional as may be decided by the Board to conduct internal audit of the functions and activities of the company. Further in explanation to Rule 13 of the Act Internal auditor may or may not be an employee of the Company. Thus, A firm in which Directors is a partner can be appointed as internal Auditor of that Company subject to compliance of section 138 and 188 of the Companies Act 2013
