Welcome to CompaniesAct.in ("Mobile Application"). The terms of use ("Terms") stated herein constitute a legally binding agreement between you and the Corporate Professionals Secretarial Services Private Limited ("CPSSPL" or "Corporate Professionals"), and these shall govern your use of the Mobile Application and the services offered through it ("Services"). These Terms may be updated by CPSSPL from time to time. Once you login to the Mobile Application, it shall be treated as your acceptance of the terms of this Mobile Application. In addition, when using any particular services, you may be subject to any posted Guidelines or Rules applicable to such services

Please read these terms carefully before using any of the services. They are part of the legal agreement between you and the CPSSPL. Using any of the services indicates that you accept these terms. If you do not accept these terms, please do not use the services, leave the Website, cease downloading the App, or leave the App.

By using our services, you confirm that you have read and understood these terms and agree to abide by them. You confirm that you are old enough to enter into a binding agreement with us, and if not, that you have the permission of your parent or legal guardian, who will take responsibility for your compliance with these terms. You warrant that you are the owner of the device to which you have downloaded any App, or that you have obtained permission from the owner of that device to download the App. You accept responsibility in accordance with these terms for the use of Apps on any device, whether or not that device is owned by you.

CompaniesAct may update or change these terms from time to time and the same will be notified to you. Any app update will be available at app store provider. Depending on the update, you may not be able to use an App until you have downloaded the latest version of the App and accepted new terms, if any.

Certain services are free for you to use, some of them may be free for a limited period and some may be provided on paid basis Any particular payment terms of any paid services will be made clear to you before you agree to pay for them and the relevant payment terms shall be incorporated into these terms by reference. When purchasing our subscription you may make your purchase through one of our Websites or from Google Play Store or iTunes Store, subject to the terms of the app store provider.

We may change the price and nature of services at our discretion, however if you have already paid for any of the service, any change in the price, or in the nature of the services that you are using, will be notified to you from time to time.

We accept no responsibility for any losses you may incur by failing to change or cancel a subscription after we have informed you of any changes to pricing or nature of services.

You may pay for certain services (either via one of our Websites, from within one of our Apps, or via an app store provider) using an auto-renewing subscription. This means your subscription will be automatically renewed at the end of each subscription period unless you cancel it. If you do not cancel it you will be charged in advance for the next subscription period. Auto subscriptions can be modified or cancelled by changing your settings with the appropriate app store provider, or if you purchased the services directly from us, from within the service purchased (eg the App), or by contacting us at info@companiesact.in. If you cancel a subscription you cannot claim a refund for the period remaining until the end of the subscription period in which you cancelled.

If you think that you may be entitled to a refund for services and you purchased those services from one of our Websites or from within one of our Apps you can contact us at info@companiesact.in.If you purchased the services from an app store provider then you should contact that app store provider as we will be unable to process such refund requests.

• You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
• You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
• You are responsible for maintaining the confidentiality and security of your account and password. CPSSPL cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• Only one login id can be created in the Mobile Application for each device.

As a condition of your use of the Mobile Application, you shall not use the Mobile Application or Services for any purpose that is unlawful or prohibited by these Terms or you shall not use the Mobile Application in any manner that could damage, disable, overburden, or impair any server of CPSSPL, or the network(s) connected to any CPSSPL server, or interfere with any other party's use and enjoyment of any services. You further concur that you shall not through the Mobile Application/Services indulge in the following prohibited activities:

• You shall not host, display, upload, modify, publish, transmit, update or share any information, that:
  
  1. Belongs to another person and to which you do not have any right to;
  2. Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
  3. Harm minors in any way;
  4. Infringes any patent, trademark, copyright or other proprietary rights;
  5. Violates any law for the time being in force;
  6. Deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
  7. Impersonate another person;
  8. Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
  9. Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.
• Delete from the Mobile Application any legal notices, disclaimers, or proprietary notices such as copyright or trademark symbols, or modify any logos that you do not own or have express permission to modify;
• Use the Mobile Application/Services in any manner that could damage, disable, overburden, or impair - or undertake any action which is harmful or potentially harmful to - any CPSSPL server, or the network(s), computer systems/resources connected to any CPSSPL server, or interfere with any other party's use and enjoyment of the Mobile Application/Services;
• Obtain or attempt to obtain any materials or information through any means not intentionally made available through the Mobile Application/Services;
• Carry out any "denial of service" (DoS, DDoS) or any other harmful attacks on the Mobile Application or internet service or; disrupt, place unreasonable burdens or excessive loads on, interfere with or attempt to make or attempt any unauthorized access to any CPSSPL mobile application, or the website or mobile application of any CPSSPL customer;
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Mobile Application.
• Perform any activity which is likely to cause such harm;

Unless otherwise stated, copyright and all intellectual property rights in all material presented in the Mobile Application, including but not limited to trademarks and logos appearing on this Mobile Application, are the property of CPSSPL or its affiliate entities and are protected under the applicable Indian laws. Any infringement shall not be tolerated and shall be vigorously defended and proceeded against to the fullest extent permitted by law. We don't own any proprietary rights on picture uploaded by you.

This Mobile Application may also contain content supplied by third parties. CPSSPL does not have any editorial control over such content. Any opinions, advice, statements, services, offers, other information or content expressed or made available by third parties are those of the respective author(s), and not of CPSSPL. Neither CPSSPL nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content, nor its merchantability or fitness for any particular purpose. In many instances, the content available through the Mobile Application may represent the opinions and judgments of the respective information provider; CPSSPL neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on the Mobile Application, by third parties. It is your responsibility to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through the Mobile Application.

This Mobile Application may have certain links which may lead to resources located on servers maintained by third parties. These third-party sites/applications may contain CPSSPL's logo, but they are independent from CPSSPL, and CPSSPL does not have any control over these sites/applications/ programmers. CPSSPL, therefore, accepts no responsibility or liability due to your use of such third-party site/applications.

• You understand and agree that CPSSPL provides the Services on an "as is", "with all faults" and "as available" basis. All warranties including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, for the title and non-infringement are disclaimed and excluded.
• CPSSPL, and its affiliates and associates shall not be liable, at any time for any direct, indirect, punitive, incidental, special or consequential damages (including, without limitation, damages for loss of business, damage to hardware or loss of profits, loss of data or profits, whether arising in contract, tort or otherwise arising out of or in any way connected with the use of the Mobile Application, with the delay or inability to use the Mobile Application or the Services, or due to use of the contents available on the Mobile Application or for any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, or due to use of information contained in the Mobile Application).
• In the event any exclusion contained herein be held to be invalid for any reason and CPSSPL or any of its affiliate entities, officers, directors or employees becomes liable for loss or damage, then any such liability of CPSSPL or any of its affiliate entities, officers, directors or employees shall be limited to not exceeding the charges paid by you, if any, for the Mobile Application.
• No representations, warranties or guarantees whatsoever are made by CPSSPL as to the (a) accuracy, adequacy, reliability, completeness, suitability or applicability of the information to a particular situation; (b) that the Services will be uninterrupted, timely, secure, or error-free; (c) the quality of any services, content, information, or other material in the Mobile Application will meet your expectations or requirements; or (d) any errors in the Mobile Application will be corrected.

CPSSPL reserves its right to refuse service, restrict, suspend your access to the Mobile Application; delete, move, or remove any content that is available in or through the Mobile Application, or to altogether remove the Mobile Application from the Market; establish general practices and limits concerning use of the Mobile Application, at any time with or without any prior notice.

You agree to defend, indemnify and hold harmless CPSSPL, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses arising out of the your use/misuse of the Mobile Application.

Any personal information identifying you ("Personal Information") if required is asked for explicitly in the relevant page in the Mobile Application. Personal Information is used to operate the Mobile Application, and may occasionally be used to inform you of new features, services, and products from those offered by CPSSPL. CPSSPL reserves the right to disclose any information in response to that it is required to be shared, disclosed or made available to any governmental, administrative, regulatory or judicial authority under any law or regulation applicable to CPSSPL or as CPSSPL in its sole discretion believes necessary or appropriate in connection with an investigation of fraud, intellectual property infringement, piracy, or other unlawful activity..

• Notice: If at any time you believe the Mobile Application has not adhered to principles of privacy or if you believe that any work has been reproduced in this Mobile Application in a manner that constitutes copyright infringement or any other grievance in relation to the use of the Mobile Application, you may send an email to info@companiesact.in.
• Applicable Law: This agreement shall be governed by the laws of India. The courts of law at New Delhi shall have exclusive jurisdiction over any disputes arising under this agreement.
• Entire Agreement: These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
